Terms

The terms on which Zetlyn Managed is provided: an organisation on Zetlyn, run for you on our servers at zetlyn.com/<your name>. The software itself is open source under the Apache License 2.0 and is not what these terms are about.

1. Who provides it

Zetlyn Managed is provided by Artur Susdorf, Franz-Sigrist-Str. 6, 79206 Breisach am Rhein, Germany, hello@zetlyn.com ("we"). These terms apply to every contract for it, with businesses and with consumers alike, unless a section says it applies to one of them only. Terms of the customer's own do not apply.

2. The contract

The order page at zetlyn.com/order is an invitation to order. By pressing "Order and pay" and completing the payment at our payment provider Stripe, you make an offer; we accept it by setting up your organisation and confirming it by mail. The contract is in English. We keep its text, these terms as they stood when you ordered, and what you agreed to when ordering.

3. What we provide

We run an instance of Zetlyn for your organisation on our servers, apart from every other customer's, at the address you chose: your sources are read on their own clock, the notices and sign-in links are sent, the program is kept current, and everything is backed up every day, encrypted, away from the server it runs on. What it holds is yours: you can download all of it from its settings at any time, in one archive that runs elsewhere with the same software.

We aim for the service to be available at all times but do not promise uninterrupted availability: it may be interrupted for maintenance, which we keep short and, where it is planned, announce, and by causes outside our control. What a source publishes is that source's; we do not answer for its correctness or for whether it stays available.

4. Prices and usage

Zetlyn Managed costs €19 a month. It includes, each month, 2 GB of storage (as the month's average), 25,000 source reads (one update of one source is one read) and 1,000 mails, and as many users, sources and trackers as you like. Usage beyond that costs €0.50 per GB of storage a month, €1 per 10,000 source reads and €1 per 1,000 mails. The shortest interval at which a source is read is five minutes.

Usage beyond the plan is limited to €50 a month unless we agree a higher limit with you. Once the limit is reached, your organisation keeps answering, but its sources are not read again and no mails are sent until the next month begins.

All prices are net. VAT is added at the rate that applies to you; for consumers in Germany that is 19 %, so €19 is €22.61. Where a business gives a valid VAT identification number of another EU member state, the reverse-charge procedure applies.

5. Payment

We bill monthly, for the calendar month: the first month from the day you order to its end, pro rata, then from the first of each month. The monthly price is billed in advance, the usage of a month at its end. Payment is collected by Stripe Payments Europe, Ltd., with the payment method you gave. If a payment fails, Stripe tries again; if a month remains unpaid for more than seven days after it was due, your organisation keeps answering, but its sources are not read again until it is paid.

6. Term and cancellation

The contract runs for an indefinite period and either of us may cancel it at any time to the end of a calendar month. You cancel at zetlyn.com/account/cancel, in your account, or by mail to hello@zetlyn.com. We cancel by mail to the address you ordered with. The right to cancel without notice for good cause is unaffected.

After the contract ends, your organisation can still be downloaded for 30 days; then it is deleted. Copies of it in our backups are deleted as they age, at the latest after twelve months.

7. Right of withdrawal for consumers

Consumers have a statutory right of withdrawal, set out in our cancellation policy.

8. Your part

You keep your sign-in safe and are responsible for what your organisation reads, holds and publishes. You use only sources you may use in that way, respect their terms, and do not use the service for anything unlawful, to attack others, or in a way that burdens our servers beyond what a plan of this kind is for. Where you do, we may pause your organisation's reading after telling you, or at once where the harm cannot wait.

9. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where we have given a guarantee. For slight negligence we are liable only for the breach of an obligation whose fulfilment makes the proper performance of the contract possible at all and on which you may regularly rely, and then only for the damage typical and foreseeable for a contract of this kind. Otherwise our liability for slight negligence is excluded. Toward consumers, the statutory provisions apply in so far as they may not be limited.

10. Changes to these terms

We may change these terms for the future where there is good reason, such as a change in the law or in the service. We tell you of a change by mail at least six weeks before it takes effect. If you do not want it, you may cancel before it takes effect; the mail says so.

11. Law and venue

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law does not take away the protection of the mandatory law of the country where they live. Where you are a merchant, a legal person under public law or a special fund under public law, the place of jurisdiction is Freiburg im Breisgau.

We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
